Purchase Order Codes (POCs) Selected Apply to the Purchase Order
These Terms and Conditions (T&C’s) are in addition to any standard Seller/Supplier T&C’s.
In case of conflict between Buyer and Seller T&C’s, the Buyer’s T&C’s prevail.

02 | The Seller is required to retain all records related to this Order, including objective evidence of the quality of any items supplied (manufacturing, assembly, inspection, physical/chemical test reports, test and special process records and material certification records) for a period of seven (7) years after the final payment. Records shall be made available to Buyer upon request and at no additional charge. | Applicable to all suppliers. | |
03 | Supplier shall not communicate with Brandywine’s customer or higher tier customer in connection with this Purchase Order unless stated otherwise.

04 | Our organization, our customers, government agencies and any applicable regulatory authorities maintain the right of access to the site where work is being performed for review of applicable Quality Management documentation and procedures. 05 | Buyer reserves the right of final approval of product, procedures, services, processes, and equipment. Supplier is responsible for competent and capable personnel. | Applicable to all suppliers. | |
06 | By accepting this purchase order, your organization understands that certain goods, data, and/or services to be provided to Our organization, under a contract or purchase order, may be subject to U.S. Government export control laws and regulations including the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR). Goods or data that are subject to export controls and provided by Our organization will be clearly marked as such. Providing access to U.S. export-controlled goods, data, or services to non-U.S. persons either in the U.S. or abroad is prohibited without prior written authorization from the U.S. Government. | Applicable to all suppliers. | |
07 | The seller shall provide and maintain a Quality Management System to an industry recognized quality standard and in compliance with any other specific quality requirements identified in these Terms and Conditions. | Applicable to suppliers supplying Flight Grade products or services. | |
08 | A certificate of Liability Insurance is to be sent to our organization prior to beginning service onsite. | Applicable to service providers and warranty repair services. | |
09 | The Supplier is responsible for ensuring that product is packaged to protect its integrity, prevention of Foreign Object Debris / Damage (FOD), corrosion or deterioration and loss in transit. | Applicable to suppliers of manufactured items. | |
10 | Supplier shall not deliver counterfeit or suspected counterfeit work to Buyer. The Seller shall only purchase new and authentic materials to be used in products to be delivered to the Buyer directly from the Original Component Manufacturer (OCM), Original Equipment Manufacturer (OEM), or authorized distributor chain. | Applicable to suppliers of manufactured items. | |
11 | As a minimum, internal calibration departments and outsourced calibration laboratories shall use standards traceable to the National Institute of Standards and Test (NIST – USA) or other International traceable standards organizations. It is preferred that outsourced laboratories be accredited to ISO 17025 General Requirements for the Competence of Testing and Calibration Laboratories and shall have the specified equipment being calibrated defined in their scope of accreditation. | Applicable to suppliers of manufactured items for which calibration accuracy effects quality including products intended for Flight use. | |
12 | Any shelf life or age sensitive materials or products must have > 90% of its life left upon our receipt. | Applicable to suppliers of manufactured items. | |
13 | Certificate of Analysis and/or Certificate of conformance is required at the time of delivery. Material supplied shall be accompanied with a Certificate of Analysis (Test Report) indicating compliance with requirements of the material specifications and shall include, at a minimum, the following:

14 | Supplier is required to notify our organization and obtain disposition authorization of any of our property that becomes nonconforming product at the time it is known to be nonconforming during processing. Nonconforming product shall be tagged and segregated from conforming product until disposition is determined. | Applicable to suppliers of manufactured items. | |
15 | Our organization will notify your organization of any special requirements, critical items, test specimens, customer-approved special process sources or key characteristics that are required to be flowed down the supply chain. These requirements will be stated on the purchase order when applicable. These may be Nadcap Accredited sources. | Applicable to suppliers of manufactured items. 16 | A first article inspection is required. AS9102 Aerospace First Article Inspection standard is the default required for manufactured, assembled, or tested product. | Applicable if Prime Contract requires. | |
17 | Supplier cannot make changes to materials, processes, drawing requirements, place of performance, or quality control factors from those of which approval was based, unless changes are approved by Our organization prior to incorporation. 18 | Our Organization is committed to complying with Section 1502 of the United States Wall Street Reform and Consumer Protection Act, also known as the U.S. Dodd-Frank Act. Therefore, our organization requires that all components and materials used in our products that contain “Conflict Minerals” (gold, tin, tantalum, and tungsten) must be sourced from “DRC conflict free” smelters. Our organization reserves the right to request the smelter information of all materials from your organization. | Applicable to suppliers of manufactured items. | |
